Job Summary
The Managing Director (MD) will provide overall leadership for the company, ensuring compliance with the Securities and Exchange Commission (SEC) Nigeria’s Crowdfunding Rules while establishing the business as a trusted, efficient, and innovative crowdfunding intermediary. The MD will be responsible for strategic direction, regulatory compliance, operational build-out, stakeholder management, and financial sustainability, with an emphasis on achieving full operational readiness within agreed timelines.

Job Description/Requirements
Responsibilities:
Regulatory Compliance & Governance:
- Ensure full compliance with SEC Rules on Crowdfunding (2020), including capital requirements, disclosure standards, reporting obligations, and investor protection mechanisms.
- Establish and maintain all governance structures required by the SEC, including compliance, risk management, and dispute resolution functions.
- Ensure full compliance with the Money Laundering Prohibition Act of 2011 and all reporting obligations to the Nigerian Financial Intelligence Unit.
- Develop internal policies to comply with Anti-Money Laundering (AML), Countering the Financing of Terrorism (CFT), Know Your Customer (KYC), and Data Protection regulations.
- Oversee timely submission of all reports and returns to the SEC within required timelines.
- Serve as the primary regulatory liaison with the SEC and other relevant agencies.
Strategic & Operational Leadership:
- Oversee the development and implementation of the business strategy, operating model, and execution roadmap for the company.
- Oversee the build-out of the technology platform (crowdfunding portal) in line with the SEC’s operational and security standards.
- Oversee operational readiness testing (ORT) to ensure the platform can securely onboard issuers and investors.
- Lead recruitment and development of the management team (Compliance Officer, Head of Operations, Head of Technology, Finance, Legal, Marketing):
- Establish internal processes for issuer due diligence, campaign approval, fund disbursement, and investor protection mechanisms.
Stakeholder & Market Development:
- Drive engagement with investors, MSMEs, startups, and SMEs to build a pipeline of quality fundraising campaigns.
- Establish partnerships with banks, trustees, registrars, payment processors, and technology providers to meet the SEC’s custodial and settlement requirements.
- Position the company as a credible intermediary by engaging industry associations, regulators, and the investment community.
- Lead branding, marketing, and awareness campaigns to promote adoption of the platform.
Risk Management & Investor Protection:
- Oversee the design and enforcement of issuer vetting frameworks to minimize default risk.
- Ensure segregation of client funds, safe custody, and transparent fund flows in line with SEC rules.
- Implement investor education and communication programs to promote informed participation.
- Establish dispute resolution channels for issuers and investors.
Financial & Business Performance:
- Ensure the company meets its minimum paid-up capital and net-asset requirements set by SEC.
- Develop annual budgets and oversee financial management, ensuring efficient utilization of resources.
- Identify revenue streams and ensure early monetization of the platform while balancing compliance and growth.
- Report performance to the Board and ensure timely audits in compliance with SEC guidelines.
12-Month Operational Priorities:
Month 0 -3:
- Transfer sponsored individual status to the company as the Managing Director and attend interviews at the SEC where necessary.
- Ensure the new board composition is approved and the records are updated at the SEC and CAC, respectively.
- Demonstrate regulatory (SEC, NFIU, CAC etc.) compliance with zero SEC infractions
- Finalise technology build
- Update operational manuals and compliance framework
- Secure partnerships with banks, trustees, and payment processors
- Recruit key staff and establish governance structures
- Participate actively in trade group association and secure founding member status
Month 3 -6:
- Demonstrate regulatory (SEC, NFIU, CAC etc.) compliance with zero SEC infractions
- Obtain SEC operational clearance for the platform
- Pilot test with selected issuers and investors
- Implement AML/CFT, data protection, and investor protection mechanisms
Month 6-9:
- Demonstrate regulatory (SEC, NFIU, CAC etc.) compliance with zero SEC infractions
- Launch crowdfunding portal commercially
- Achieve the first set of campaigns (equity, debt, or donation-based as approved)
- Build a track record of transparency and compliance through regular reporting
Month 9-12:
- Demonstrate regulatory (SEC, NFIU, CAC etc.) compliance with zero SEC infractions
- Establish a visible brand presence and trusted reputation
- Achieve measurable fundraising volume and active investor participation
Requirements:
- Minimum of 12–15 years’ progressive leadership experience in capital markets, investment banking, financial services, or fintech.
- Deep knowledge of SEC Nigeria’s crowdfunding regulations and capital markets framework.
- Proven track record in building regulated financial services/fintech operations.
- Strong relationships with regulators, financial institutions, and investor networks.
- Experience in leading technology-driven financial platforms preferred.
